The Ministry of Commerce has announced in its website that certain protective measures have been adopted with respect to the general assembly meetings of joints stock companies and limited companies due to Covid-19 pandemic.
- Ordinary general assembly meetings, which have been called to convene by the authorized management bodies of joint stock and limited companies in line with the Turkish Commercial Law and their articles of association, can be cancelled with a decision of the relevant management body.
- Requests regarding the cancellation of ordinary general assembly meetings shall be made to the Directorate of the Trade Registry Gazette. The Directorate of the Turkish Trade Registry Gazette published on its web site a sample cancellation announcement that the companies can use.
- It is recommended that the companies, which use the electronic general assembly system in line with article 1527 of the Turkish Commercial Code, convene their general assemblies electronically.
- Companies, which do not have the necessary provisions allowing them to convene electronic general assemblies in their articles of association, will be able to convene their assemblies electronically. The relevant amendment of articles of association can be made in the first general assembly meeting. The Central Registry Agency will assist the companies in the process.
